Property bridging
Short term property finance.
How much do you lend, and at what loan to value?
From £5,000,000 to £25,000,000, measured on the gross facility. Where interest is retained, the net advance on day one is lower. Up to 90% of market value. Cases above 75% are subject to enhanced credit review and may need additional security. Loan to value is measured on the gross loan, including any retained interest and before the arrangement fee is deducted.
What does a facility cost?
From 1.00% per calendar month, fixed for the term. Priced case by case on the asset, the structure and the borrower. That is the discounted rate. Default rate 2.00% per calendar month. Interest is calculated on a 360-day year. The arrangement fee is 2.00% of the gross facility, deducted on drawdown. A commitment deposit of £20,000, non-refundable, is payable on signature of terms. There is no exit fee and no non utilisation fee. All costs of the facility are for the borrower, including our legal fees and the borrower's own, the valuation fee, search and title insurance fees, the cost of any monitoring surveyor and any other reasonable cost incurred in connection with the facility, whether or not it completes. Our solicitors and the valuer each give an estimate before they are instructed, and the borrower puts those amounts on account before instruction. The valuation is instructed by us and addressed to us.
How is interest paid, and what if I repay early?
Retained interest is our standard structure. Serviced interest is available by agreement, chosen at the outset. Retained: interest for an agreed period is deducted from the loan on drawdown and held by us, so no monthly payment is made during that period. This is our standard structure. The retention is a minimum of six months where the term is six to twelve months, and a minimum of twelve months where the term runs beyond twelve months. Serviced: interest is paid monthly in arrears by direct debit, on the first business day of each month. Available by agreement. Retention reduces the cash advanced on day one, not the cost. Any unused retained interest is refunded on early redemption, subject to the make-whole period. Early repayment is permitted at any time, with no penalty beyond the make-whole period. Make-whole of six months as standard, and twelve months where the term exceeds twelve months. On redemption we are paid interest to the end of the make-whole period, whether or not the loan has run that long. That is the only cost of repaying early.
Can interest be retained?
Yes. Retained interest is our standard structure, and serviced interest is available by agreement. Retention reduces the cash advanced on day one, because the retained interest is deducted from the loan on drawdown along with the arrangement fee. It does not change the cost. Loan to value is always measured on the gross loan, meaning the facility including any retained interest and before the arrangement fee is deducted, not on the net advance. Any unused retained interest is refunded on redemption, subject to the make-whole period.
How quickly can you move?
Indicative terms within 24 hours of a complete enquiry. Funds in as little as 5 working days on straightforward cases.
What security do you take?
A first legal charge over the property, a debenture from the borrower including a first ranking floating charge, and personal or corporate guarantees. Where the asset sits in a structure we also take a charge over the entire issued share capital of the company that holds it. The share charge sits alongside the property charge, it does not replace it. We also take a corporate guarantee from the ultimate asset-owning entity, and a legal opinion on the borrower's capacity and on the enforceability of our security, where the borrower is an overseas entity or a fund. Where we take the share charge, signed stock transfer forms and share certificates are held to our order.
How must the loan be repaid?
We need one identified and evidenced repayment route, being a sale of the asset or a refinance supported by a term lender's indicative terms. We do not lend where repayment depends on a planning consent not yet granted, or on a sale of an asset that has not been exposed to the market.
Who values the asset, and on what basis?
We instruct the valuer. Reports are addressed to Clivedale Capital Limited with reliance, from a firm whose professional indemnity cover at least matches the facility. We value the asset in its present condition, on a market value and a 180-day marketing basis, not on gross development value or value on completion. We inspect every asset before credit approval.
Who can borrow, and what do you lend against?
UK and overseas companies and SPVs, trusts, LLPs, and individuals borrowing for business purposes, subject to identity and source of funds checks. We lend against prime and mainstream residential, commercial and mixed use, part complete and unsold stock, and land with implementable planning. Geography is the United Kingdom, excluding Northern Ireland.
What will you not lend on?
We do not write regulated mortgage contracts and we do not lend to consumers, so we cannot lend on any property occupied, or to be occupied, by the borrower or a member of their family. Ground up development. We lend on completed and part complete assets, not on construction risk. Acquisitions where the borrower has no equity in the asset and the facility funds the whole purchase price. Property in Northern Ireland. We do not lend below £5,000,000.
